willlouden.com, Inc. is a United States, state of Wyoming chartered, “C” Corporation, formed in February of 2012 by its namesake founder, “Will G. Louden™.”

This enterprise is the senior most management decision making company for a group of visionary related independent startup brands that are mentioned on this internet site.

At this point, there are a number of industries and markets (“sectors”) where the corporation is focused. These brands each serve a specific portion of that developing focus.

While many of the aspects of the brands featured throughout this site will have their very own unique staffing, structural and ownership apparatuses, etc., management fully plans to and, in fact, anticipates sharing substantial cross brand resources. This method of operating will help to defray operating costs while also working to achieve related venture synergies.

Contractually, at least, these brands will share (resources), without the intention of denying any individual shareholder their valuable ownership rights. Rights to assets upon sale and/or dissolution, profits, and/or the power to vote and/or act, etc. will continually be observed no matter what the ultimate synergies may be / become between the brands.

The only actions resting solely with any senior level management company will be those that are clearly spelled out inside of an operating agreement, management agreement, shareholder agreement and/or any other dully authorized and/or properly installed legal instrument (bylaws / board decisions, etc.).

Management, operating and/or shareholder, etc. agreements shall, will and/or all have overriding final decision making authority over any and/or all board and/or brand bylaw and/or brand level policy that is adopted.

Several identified brands will serve many of the other portfolio brands. Brands may also serve entities and/or communities beyond the ones highlighted and/or featured within. Brands are positioned operate as stand alone, independent operating units.

It is the intention of management to harness and extract as much related brand and market power as can be reasonably achieved without risking any severe regulatory actions.

The related nature of the brands are spelled out inside of agreements, primarily; however, not limited to: (1) operating agreements; (2) management agreements and/or (3) shareholder agreements, etc. respectively. Terms of Service and other agreements and/or brand policies govern brand and platform relationship with the general public.

There are seven planned management operating companies (not including willlouden.com, Inc.) that will (or may) be owned, at least initially, by individual unique investors. For now, all seven management companies will be owned (exclusively) by willlouden.com, Inc.

That may change but for now it is the equity, management and/or supreme decision making approach that management believes is the most advantageous for our initial sequence of launches, capitalization and venture start.

At launch all brands will be operated in a way that may allow sharing of resources between them. Many brands will also share common control (ownership) by: Will G. Louden™. They will not necessarily share the exact same shareholder and/or supplier and/or employee structure and/or infrastructure either. This just means that they may share common control, by a common, “related party.”

willlouden.com, Inc., as well as the tentative seven management companies and brands, may develop other brands and/or units which are not yet envisioned here, in those cases, these same ownership and management terms will apply to those (unimagined) brands, unless otherwise stated in an agreement.

willlouden.com, Inc., will also exercise ultimate decision-making power over all brands under management. Decisions made by willlouden.com, Inc. will supercede even those made by any (sub) board, executive, manager and/or individual entity “member,” etc. of any brand and/or future resulting organized entity.
