Participant General Release Agreement |

The Advertiser, Sponsor, Show/Web Series Guest, Recipe/Cookbook Participant,
and/or Project Contributor in general, all hereinafter “PARTICIPANT,” hereby
understands and further acknowledges that (except where expressively
disclaimed) all recipe submissions, raw television, radio and/or electronic
footage, pictures, motion pictures, video, internet code and systems,
Television Show DRAFT and final manuscripts (including web series), footage,
audio, video, b-roll, and any and/or all submissions and contributions of
any kind to: the television shows/series, Magazines, cookbook(s), web
series, launch events, and any and/or all other related media, products
and/or services, etc., and/or any and/or all WILL LOUDEN, LLC internet
systems collectively herein after “WCOM” is and/or will become the sole
property 100% of either willlouden.com, Inc. and/or project founder: Will G.
Louden™. I further hereby forever release Will G. Louden™, willlouden.com,
Inc., and their affiliates, employees, consultants, advertisers, sponsors,
Participants, producers, partners, broadcasters, promoters, successors
and/or assigns, etc. hereinafter, “WCOM PARTNERS,” from any and/or all
claims whatever arising out of WCOM, be them expressed and/or implied. |

Participant further understands and agrees that WCOM and/or Will G. Louden™
will own all rights, title and interest in all manuscripts, recipes, shows,
songs, jingles, spots (radio, television & graphics) raw footage, b-roll
submissions (raw and complete pictures, video, songs, jingles, graphics,
sound, text, etc.), submissions (raw and complete pictures, video, songs,
jingles, graphics, sound, text, etc.), pictures, internet systems, code,
data, and all final television show product created and/or submitted under
this agreement, be it licensed or not. Participant also understands that
Will G. Louden™ shall own all TV, radio, magazine and/or electronic
endorsement media where Will G. Louden™ appears. |

|
Participant hereby understands that by participating in WCOM, and in any
way, they hereby agree to a worldwide, unlimited, perpetual, and
multiplatform general release of their name, likeness, pictures, business
name, and any and all submitted and/or gathered footage and/or b-roll
footage (pictures, video, sound, text, etc.). |
|
|
Participant also further warrants, understands and/or verifies that all
project submissions (recipes, stories, pictures, video, sound, text, etc.)
contributed under the terms of WCOM are either the sole property and/or
collective creation of Participant and/or that the Participant has the
proper authority and/or has obtained the 100% right to contribute the items
(recipes, stories, pictures, video, sound, text, etc.) submitted under the
terms of WCOM. |

|
Participant further understands that WCOM may cancel and/or reject any
Participant for any reason and at any time without liability whatsoever,
even though previously acknowledged and/or accepted. |
|
|
All Participants are accepted and published/broadcasted upon the
representation by the agency and Participant that they are authorized to
grant the right to publish the entire contents and subject matter thereof
and that such publication and/or broadcast, etc. will not violate any law
and/or infringe upon any right of any person and/or entity. The Participant
and agency hereby, jointly and severally, indemnify and hold WCOM and WCOM
PARTNERS harmless from and against any and/or all claims, damages,
liabilities, obligations, losses, and expenses (including, without
limitation, attorneys’ fees and disbursements) in connection with the
publication/broadcasting of such advertisements, including, without
limitation, those arising from claims and/or suits for defamation, copyright
and/or trademark infringement, and/or misappropriation and/or from any
and/or all other claims now known or hereafter devised. |
|
|
This agreement shall be subject to, and construed under, the applicable laws
of the United States of America and the States of Arkansas and Wyoming; and
that all prior oral and/or written negotiations and understandings between
the parties hereto with respect to the subject matter hereof are merged
herein. |
|
|
This Agreement shall be binding upon and inure to the benefit of the parties
hereto, their respective heirs, executors, administrators, personal
representatives, successors and assigns. |
|
|
IN WITNESS WHEREOF, the parties have executed this Agreement the day and
year first above written. |
|
|
PLEASE NOTE: By
continuing, signing up online and submitting your recipes you hereby agree
to the terms of the General Project Release Agreement. |
